1. Acceptance of Terms

By accessing or using TakeOffTrak, you accept these Terms of Service. These terms govern every user of the platform: individual estimators, organization administrators, and team members alike.

2. Description of Service

TakeOffTrak is a product of TrakWorks, LLC. It extracts pipe fabrication takeoff data from isometric drawings using artificial intelligence. The platform detects and categorizes welds, materials, and supports from uploaded PDF drawings. You review every AI-generated extraction in the overlay editor, correct errors, and export finalized data to Excel for bids and procurement.

TakeOffTrak accesses the Google Gemini API as a "Paid Service" under Google's terms — through a Cloud Project with an active billing account. Under these terms, Google does not use data submitted through the API to train its models.

3. AI — Almost Intelligent

The AI in TakeOffTrak can miss welds, miscount materials, or misclassify component types. Accuracy typically falls between 80% and 99%, and 100% is common on standard drawings. Regardless of the result, every extraction needs human review before you use it for anything.

4. User Responsibilities and Disclaimer

This section matters most. Read it carefully.

TakeOffTrak assists estimators. It supplements — but never replaces — professional judgment.

  • Every AI-generated extraction — weld counts, material lists, and support data — is a draft that requires human verification. Expect 80% to 99% accuracy. 100% is common on standard drawings, but always verify.
  • Drawing quality matters. Non-standard symbols and formatting inconsistencies produce worse results.
  • The overlay editor is your verification step. Open it. Check every weld. Correct what's wrong. A qualified estimator must approve every extraction before it leaves the platform.
  • The benefit of TakeOffTrak is speed: what used to take hours of manual counting takes minutes to review, correct, and confirm. TakeOffTrak does the heavy lifting — you do the quality control.
  • You are the expert. TakeOffTrak speeds up your work. It does not replace your judgment.

By using TakeOffTrak, you confirm that AI-assisted takeoffs require human verification and that no extraction is final until a qualified professional has reviewed and approved it.

Proprietary drawings: Users typically receive construction drawings for the purpose of estimating, procurement, and execution. Extracting takeoff data from those drawings with TakeOffTrak falls within that authorized construction scope. You remain responsible, however, for ensuring that your use complies with any confidentiality or handling requirements in your contracts with drawing owners.

5. Accounts and Organizations

  • Each account belongs to one individual. Sharing accounts is prohibited.
  • You must keep your account credentials secure and accept responsibility for all activity under your account.
  • Organization administrators must manage team member access and permissions within their organization.
  • You must notify us immediately upon discovering unauthorized use of your account.

6. Acceptable Use

You agree to refrain from:

  • Abusing, disrupting, or overloading the service — including sending automated requests or circumventing rate limits.
  • Reverse-engineering, decompiling, or extracting the logic of the AI pipeline or any other proprietary component of TakeOffTrak.
  • Uploading malicious files, viruses, or content designed to harm the platform or its users.
  • Sharing account credentials or allowing multiple people to use a single account.
  • Using the service for any unlawful purpose or in violation of applicable laws or regulations.

7. Payment and Billing

  • Paid plans are billed monthly. Your subscription renews automatically unless you cancel before the next billing cycle.
  • Each plan includes a set number of ISO drawings per month. Usage beyond that limit is billed as overage at the rate stated on your plan.
  • All fees are non-refundable. If you cancel mid-cycle, your access continues through the end of the paid period — we do not issue partial refunds.
  • We may change pricing with thirty (30) days' notice. Price changes take effect at the start of your next billing cycle after the notice period.
  • If payment fails, we will attempt to collect for up to fourteen (14) days. After that, your account may be suspended until the balance is resolved.

8. Intellectual Property

  • Your content: You retain full ownership of every drawing you upload and every dataset you export. TrakWorks, LLC claims no rights over your content.
  • Our platform: TrakWorks, LLC owns all rights, title, and interest in TakeOffTrak — the AI pipeline, software, design, and documentation. These terms grant you only a limited, non-exclusive, non-transferable right to use the service during your subscription.

9. Limitation of Liability

  • TakeOffTrak is provided "as is" and "as available", without express or implied warranties of any kind — including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We exclude liability for inaccuracies in AI-generated extractions — incorrect weld counts, misidentified materials, and missing items.
  • We exclude liability for losses, damages, or costs that arise from reliance on extracted data you did not independently verify.
  • Neither TrakWorks, LLC nor its members shall be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost bids, business interruption, or data loss — regardless of the theory of liability.
  • To the maximum extent the law permits, TrakWorks, LLC's total aggregate liability for all claims arising from your use of the service is limited to the fees you paid TrakWorks, LLC in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TrakWorks, LLC and its members, officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of TakeOffTrak or any data exported from it.
  • Your violation of these Terms of Service.
  • Your violation of any third-party rights — including intellectual property rights of drawing owners.
  • Bids, procurement decisions, or construction activities based on data you obtained through TakeOffTrak without independent verification.

11. Termination

  • Either party may terminate this agreement at any time. You may stop using TakeOffTrak and request account deletion whenever you choose.
  • We may suspend or terminate your account if you violate these terms.
  • After termination, we retain your uploaded drawings and associated data for thirty (30) days, then permanently delete them.

12. Governing Law and Jurisdiction

These Terms are governed by and construed under the laws of the State of Texas, without regard to conflict-of-law provisions. Any legal action arising from these Terms or your use of TakeOffTrak shall be brought exclusively in the state or federal courts located in Brazoria County, Texas.

13. Dispute Resolution

Before filing a formal claim, both parties agree to attempt resolution through good-faith negotiation for at least thirty (30) days. Written notice of the dispute must be sent to the other party describing the issue and the relief sought. If direct negotiation does not resolve the matter, either party may pursue remedies in the courts specified in Section 12.

14. Force Majeure

TrakWorks, LLC is not liable for delays or failures in performance caused by events beyond reasonable control — including natural disasters, internet or infrastructure outages, third-party service failures (such as cloud hosting or AI provider disruptions), government actions, or pandemics.

15. Privacy

Your use of TakeOffTrak is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using TakeOffTrak, you agree to the terms of the Privacy Policy.

16. General Provisions

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and TrakWorks, LLC regarding TakeOffTrak. They supersede any prior agreements or understandings.
  • No waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign or transfer your rights under these Terms without our written consent. TrakWorks, LLC may assign its rights without restriction.

17. Changes to Terms

We may update these Terms of Service at any time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of TakeOffTrak after we post changes constitutes acceptance of the revised terms. Review this page periodically.
