1. Acceptance of Terms

By accessing or using TakeOffTrak, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the platform. These terms apply to all users, including individual estimators, organization administrators, and team members.

2. Description of Service

TakeOffTrak is an AI-powered tool that assists with pipe fabrication takeoffs by extracting data from isometric drawings. The platform uses artificial intelligence to detect and categorize welds, materials, and supports from uploaded PDF drawings. Users can review AI-generated extractions through an overlay editor, make corrections, and export finalized data to Excel for use in bids and procurement.

3. User Responsibilities and Disclaimer

This is the most important section of these terms. Please read it carefully.

TakeOffTrak is a tool to assist estimators. It does not replace professional judgment.

  • All AI-generated extractions — including weld counts, material lists, and support data — are drafts that require human verification.
  • You are ultimately responsible for verifying all extracted data before using it for bids, procurement, or fabrication.
  • You are ultimately responsible for all exported data and results derived from the platform.
  • TakeOffTrak does not guarantee the accuracy of AI extractions. AI models can and do make errors, including missing items, misclassifying weld types, or producing incorrect material quantities.
  • You must review and correct AI output using the overlay editor before relying on it for any downstream work.

By using TakeOffTrak, you acknowledge that the platform is an assistive tool and that you bear full responsibility for the accuracy of any takeoff data used in your business operations.

4. Accounts and Organizations

  • Each account is for a single individual. Account sharing is not permitted.
  • You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
  • Organization administrators are responsible for managing team member access and permissions within their organization.
  • You must notify us immediately if you become aware of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

  • Abuse, disrupt, or overload the service, including by sending automated requests or attempting to circumvent rate limits.
  • Attempt to reverse-engineer, decompile, or extract the logic of the AI pipeline or any other proprietary component of TakeOffTrak.
  • Upload malicious files, viruses, or any content designed to harm the platform or its users.
  • Share your account credentials with others or allow multiple people to use a single account.
  • Use the service for any unlawful purpose or in violation of any applicable laws or regulations.

6. Intellectual Property

  • Your content: You retain full ownership of all drawings you upload and all data you export from the platform. TakeOffTrak does not claim any rights over your content.
  • Our platform: TakeOffTrak retains all rights, title, and interest in the platform, including the AI pipeline, software, design, and documentation. Nothing in these terms grants you rights to our intellectual property beyond the limited right to use the service.

7. Limitation of Liability

  • TakeOffTrak is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We are not liable for inaccuracies in AI-generated extractions, including incorrect weld counts, misidentified materials, or missing items.
  • We are not liable for any losses, damages, or costs resulting from reliance on extracted data that was not independently verified by the user.
  • To the maximum extent permitted by law, TakeOffTrak's total liability for any claims arising from your use of the service is limited to the total fees you paid to TakeOffTrak in the twelve (12) months preceding the claim.

8. Termination

  • Either party may terminate this agreement at any time. You may stop using TakeOffTrak and request account deletion at any time.
  • We reserve the right to suspend or terminate your account if you violate these terms.
  • Upon termination, your uploaded drawings and associated data will be retained for thirty (30) days, after which they will be permanently deleted.

9. Changes to Terms

We may update these Terms of Service from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of TakeOffTrak after changes are posted constitutes your acceptance of the revised terms. We encourage you to review this page periodically.
